These Terms of Service and End User License Agreement (“Terms”) govern your access to workbeat.io and the Workbeat services made available through it (“Service”). The Service is provided by Workbeat Technologies Sdn. Bhd. (1422325-A), Malaysia (“Workbeat”, “we”, “our” or “us”).
By registering for or using the Service, you agree to these Terms. If you use the Service for an organisation, you confirm that you have authority to act for that organisation. If you do not agree, do not use the Service. A separate written agreement signed with Workbeat takes precedence where its terms conflict with these Terms.
- Accounts and authorised use
You must provide accurate account information, protect your sign-in credentials and notify us promptly of suspected unauthorised access. Do not share individual sign-in credentials. Your organisation is responsible for assigning appropriate workspace and company permissions and for the activities of users it authorises.
You must have the authority and permissions needed to upload, process or connect business, employee, customer, supplier and other records through the Service. You are responsible for the accuracy and lawfulness of the information you provide.
- License and ownership
Subject to these Terms and any agreed subscription, Workbeat grants you a limited, non-exclusive, non-transferable right to access and use the available Service for your organisation’s internal business purposes. This is a license to use the Service, not a sale of its software or intellectual property.
Workbeat and its licensors retain ownership of the Service, software, designs, trademarks and other materials we provide. You retain ownership of your business data. You grant Workbeat the rights needed to host, process, display and transmit that data to provide the Service, support your authorised use and comply with applicable law, in accordance with our Privacy Policy.
- Acceptable use
Do not use the Service for unlawful activity, fraud, infringement or unauthorised disclosure of personal or confidential information. Do not introduce malicious code, interfere with the Service, bypass access controls, access another organisation’s records without permission, or attempt to extract source code except where applicable law expressly permits it.
Do not resell the Service or make it available as a service to others without Workbeat’s written agreement. Report suspected security issues to care@workbeat.my and avoid accessing or changing other users’ data while reporting an issue.
- Business records and professional responsibility
The Service provides business administration tools. It does not replace professional accounting, tax, legal, employment or other regulated advice. You are responsible for reviewing records, classifications, tax treatments, currency rates, allocations, payroll results and reports before relying on them or making filings, payments or other decisions.
You remain responsible for your statutory obligations, record retention and independent copies or exports of important business records. A feature’s availability does not by itself establish compliance, certification or suitability for every jurisdiction or business.
- Third-party services and QuickBooks connections
Third-party services, including Intuit QuickBooks, are provided by their respective providers under their own terms and privacy policies. Your use of Workbeat does not grant a license to those services. Workbeat is not Intuit and is not endorsed by Intuit merely because an integration is available.
Only an authorised administrator should connect a third-party company. When you authorise a connection, Workbeat may retrieve and process the records needed for the import or sync you request. Availability depends on provider permissions, access limits and service availability.
Imports can have unsupported records, mapping exceptions or differences. Review previews, exceptions and reconciliations before treating an import as complete. Disconnecting a connection stops its future use by Workbeat; it does not automatically delete records already imported or remove your obligations to retain them. Use the provider’s own account settings when you need to revoke access at that provider.
- Plans, trials and charges
Any paid plan, trial period, usage limits, charges, taxes, billing frequency, renewal and cancellation arrangements must be disclosed in the applicable order or subscription agreement. These Terms do not by themselves authorise a charge or create an automatic paid subscription.
Trial, preview and demonstration features may be limited or changed. Do not rely on demonstration data as your organisation’s official records. Availability of a planned feature does not constitute a commitment to deliver it by a particular date.
- Privacy and confidentiality
Our Privacy Policy describes how personal information is handled. You must provide any notices and obtain any permissions required for the data you submit. Access to personal and confidential records should be restricted to authorised users who need it.
We use your non-public business information to provide and support the Service and as otherwise permitted by the Privacy Policy or law. We may disclose information to service providers as needed to operate the Service or where law requires disclosure.
- Service availability and changes
We may maintain, update or change the Service. Unless a separate written agreement states otherwise, we do not promise uninterrupted availability, error-free operation or a particular service level. We will use reasonable care in providing the Service and communicating material changes that affect your use.
You should review important outputs and notify us of problems. Third-party outages, network failures and events outside our reasonable control may affect the Service.
- Suspension and termination
You may stop using the Service and contact care@workbeat.my about account closure and available data export options. Cancellation and refunds for a paid plan are governed by the applicable subscription agreement and applicable law.
We may restrict or suspend access where reasonably necessary to address a security risk, unlawful use, a material breach of these Terms or a legal requirement. Where practicable, we will give notice and an opportunity to resolve the issue. On termination, your license to use the Service ends. Data retention and deletion remain subject to applicable law, our Privacy Policy and any separate agreement.
- Warranties and liability
To the extent permitted by applicable law, we do not give implied warranties of fitness for a particular purpose or guarantee that every feature will meet your requirements. Neither party is responsible for losses caused by the other party’s unauthorised use or failure to take reasonable steps to protect its accounts and data.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any right, remedy, guarantee or liability that cannot lawfully be excluded or limited. Any additional limitation of liability must be set out in an applicable separate agreement.
- Changes, governing law and disputes
We may update these Terms by publishing a revised version with a new effective date and providing reasonable notice of material changes. Changes do not retrospectively remove accrued rights. If you do not agree to a material change, you may stop using the Service and discuss your account or subscription with us.
These Terms are governed by Malaysian law, subject to any mandatory protections that apply to you. Please contact us first to seek an informal resolution of a dispute. The courts of Malaysia have non-exclusive jurisdiction, without limiting any mandatory right to bring a claim elsewhere.
If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
